Terms of Service

1. ACCEPTANCE OF TERMS

By downloading, accessing, or using the Kinetic mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and Redak Code Inc., a corporation incorporated under the federal laws of Canada (CBCA), with its principal place of business in Hamilton, Ontario, operating as Kinetic ("Kinetic," "Company," "we," "us," or "our").

2. ELIGIBILITY AND GEOGRAPHIC RESTRICTIONS

2.1 Age Requirement

You must be at least 18 years of age to use Kinetic. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement under the laws of your jurisdiction.

We verify this requirement by collecting your date of birth. For accounts registered with email and password starting from Version 1.6, we collect the date of birth at sign-up and refuse account creation for any user whose date of birth indicates they are under 18. Accounts created via social sign-in (Apple, Google, and others) and accounts created before Version 1.6 are periodically prompted in-App to confirm their date of birth; redemption of KineticCoins for gift cards (Section 7) is blocked until the date of birth is on file and confirms an age of at least 18. Submitting a false date of birth to circumvent this requirement is a material breach of these Terms and grounds for immediate account termination and forfeiture of any KineticCoins balance.

2.2 Geographic Restrictions

The App is intended for use in jurisdictions where sports prediction entertainment applications are lawful. You are solely responsible for determining whether your use of the App complies with the laws of your jurisdiction.

2.3 Account Requirement

You must maintain a valid account with the Apple App Store or Google Play Store (as applicable) to make in-app purchases.

3. DESCRIPTION OF SERVICE

Kinetic is a sports prediction and entertainment platform that allows users to:

• Make predictions on professional sporting events
• Compete in prediction leagues against other users
• Earn and spend KineticCoins (virtual currency)
• Redeem KineticCoins for select digital gift cards
• Purchase KineticCoins through in-app purchases

Kinetic is intended for entertainment purposes only. We do not offer gambling, sports betting with real money, or any form of cash wagering. KineticCoins have no monetary value and cannot be redeemed for cash.

4. KINETICCOINS — VIRTUAL CURRENCY

4.1 Nature of KineticCoins

KineticCoins are a virtual, in-app currency used exclusively within the Kinetic platform. KineticCoins: (a) have no real-world monetary value; (b) are not legal tender; (c) are not redeemable for cash or cash equivalents; (d) are not transferable to another account; and (e) do not constitute property of any kind.

4.2 Purchasing KineticCoins

KineticCoins may be purchased through the Apple App Store or Google Play Store using in-app purchases processed by Apple Inc. or Google LLC respectively. All purchase transactions are subject to the terms and conditions of the applicable app store.

4.3 Earning KineticCoins

KineticCoins may also be earned through platform activities such as correct predictions, league winnings, promotional events, daily check-ins, streak milestones, ad rewards, referral bonuses, and subscription benefits. Coins obtained in this manner are tracked as earned coins and are subject to the gift card redemption rules in Section 7.

4.4 Earned Coins vs. Purchased Coins

KineticCoins are tracked in two separate, legally distinct categories: (a) earned coins, obtained without a payment of money to Kinetic; and (b) purchased coins, obtained through an in-app purchase. Both categories can be used interchangeably for in-App utility (such as league entry fees, streak shields, or cosmetic items), but only earned coins are eligible for gift card redemption as described in Section 7. The two balances are maintained programmatically and a user cannot convert purchased coins into earned coins by any in-App means.

4.5 No Refunds

All KineticCoin purchases are final and non-refundable, except as required by applicable Canadian consumer protection law or as mandated by Apple App Store or Google Play refund policies. In the event that a purchase is refunded, charged back, or otherwise reversed by Apple, Google, or an issuing bank, Kinetic may deduct the corresponding purchased coin balance from your account, suspend redemption eligibility, and pursue recovery of any redeemed value.

4.6 Expiration and Discontinuation

KineticCoins do not expire as long as your account remains active. Kinetic reserves the right to modify, suspend, or terminate the KineticCoins program with 30 days' advance notice.

4.7 Daily Check-In Rewards

Opening the App on a new UTC calendar day credits a small daily check-in reward (currently 2 KineticCoins), with milestone bonuses at multiples of 7 consecutive days. These rewards are a goodwill incentive for continued engagement, not consideration for any wager, and Kinetic may modify the reward amount, cadence, or milestones at any time with reasonable notice.

5. KINETIC PRO SUBSCRIPTION

5.1 What Pro Includes

Kinetic Pro is an optional, auto-renewing subscription. A Pro subscription provides the following benefits and nothing more: (a) removal of advertisements from the App; (b) a monthly grant of 50 KineticCoins credited on each billing cycle, classified as earned coins; and (c) a cosmetic "PRO MEMBER" badge displayed on your profile. Pro does NOT unlock additional predictions, leagues, sports, or gameplay features — all core functionality is and will remain available to free users.

5.2 Pricing and Plans

Pro is offered on a monthly or annual basis at the price displayed at the point of purchase, which may vary by region and is inclusive of any applicable taxes determined by the Apple App Store or Google Play Store. Current pricing is shown in-App before you confirm your purchase.

5.3 Free Trial

Kinetic may offer an introductory free trial to eligible new subscribers. Eligibility and duration of the trial (e.g., 7 days) are determined by Apple or Google and displayed before you confirm enrollment. Unless you cancel at least 24 hours before the trial ends, your subscription will automatically convert to a paid subscription at the then-current price and your payment method will be charged. Only one free trial per Apple ID or Google account is permitted. If you have previously used a trial for Kinetic Pro, you are not eligible for another trial.

5.4 Auto-Renewal

Pro subscriptions renew automatically at the end of each billing period at the then-current renewal price unless you cancel at least 24 hours before the end of the current period. Your Apple ID or Google account will be charged on the renewal date. Kinetic does not control the timing or amount of any renewal charge — these are managed by the applicable app store.

5.5 How to Cancel

You may cancel your Pro subscription at any time, including during a free trial, by managing subscriptions in:

• iOS:Settings → [your name] → Subscriptions → Kinetic → Cancel Subscription
• Android:Google Play Store → Profile → Payments & subscriptions → Subscriptions → Kinetic → Cancel

Cancellation takes effect at the end of the then-current billing period. You will retain Pro benefits until that date. Kinetic cannot cancel an App Store or Play Store subscription on your behalf.

5.6 Refunds

All subscription payments are processed by Apple or Google and are governed by their respective refund policies. Kinetic does not issue refunds directly. To request a refund, contact Apple support.apple.com or Google support.google.com. This does not limit any statutory right of refund you may have under applicable Canadian consumer protection law.

5.7 Price Changes

We may change subscription prices from time to time. Any price change will take effect at the start of the next billing period following notice to you, and you will have an opportunity to cancel before the new price applies, in accordance with Apple and Google subscription rules.

5.8 Coins Earned During Pro

KineticCoins granted as part of a Pro subscription (the monthly 50-coin benefit) are non-refundable and are not reversed if you cancel, downgrade, or receive a refund on a subscription payment. These coins are classified as earned coins and are subject to the gift card redemption rules in Section 7.

6. PREDICTION LEAGUES

Certain leagues require an entry fee paid in KineticCoins. Participation does not guarantee any winnings. Results are based on the accuracy of your sports predictions. If a sporting event is cancelled or postponed, Kinetic will resolve the league at its reasonable discretion.

7. GIFT CARD REDEMPTIONS

7.1 Earned Coins Only

Only KineticCoins classified as earned coins (i.e., coins obtained through gameplay activity, daily check-ins, ad rewards, streak milestones, league winnings, referral rewards, Pro subscription monthly grants, and other promotional activities) are eligible for redemption against third-party digital gift cards. KineticCoins purchased through in-app purchase (purchased coins) are NOT redeemable for gift cards and may be used only for in-App utility such as league entry fees, streak shields, and cosmetic items. This separation is a material term and is enforced programmatically; attempts to circumvent it (including chargeback abuse) may result in forfeiture of any pending redemption and account termination under Section 14.

7.2 Minimum, Cap, and Processing

The minimum redemption is 1,250 KineticCoins (equivalent to a US$5 gift card). The maximum redemption value per user per calendar month is US$50. After you submit a redemption, the request enters a 48-hour review window during which it may be cancelled by Kinetic for fraud or eligibility review. After that window the request is sent to the fulfillment provider and is final. Total processing time is typically up to 10 business days.

7.3 Milestone Tier Rewards

Users who reach certain lifetime earned coin milestones (currently the gold, diamond, and legend reward tiers) are entitled to a one-time milestone gift card credited at the time of claim, independent of the monthly cap in Section 7.2. Milestone tier rewards may be claimed once per tier per user account; subsequent earnings beyond the same milestone do not entitle the user to additional milestone rewards.

7.4 Catalog and Availability

The list of available gift card brands, denominations, and regions is set by Kinetic at its discretion and may change without notice. Gift card values are denominated in U.S. dollars; the in-app display of coin-to-dollar equivalence is approximate and the authoritative value is the one shown at the moment of redemption confirmation. Once a gift card is issued, the value cannot be reversed back to KineticCoins.

7.5 No Cash Value

For the avoidance of doubt: KineticCoins are never redeemable for cash. Gift card redemptions are a discretionary loyalty benefit, do not constitute a payout of winnings, and do not transform any KineticCoin into cash or cash equivalent. This benefit may be modified, suspended, or discontinued by Kinetic with 30 days' advance notice.

8. USER ACCOUNTS

You must create an account to use Kinetic. You are responsible for maintaining the confidentiality of your account credentials. You may only maintain one Kinetic account. Creating multiple accounts is prohibited and may result in permanent suspension.

9. USER CONTENT

9.1 Licence Grant

By submitting content to the App — including but not limited to your display name, profile photo, pick comments, league names, and any text you provide in support requests — you grant Kinetic a non-exclusive, worldwide, royalty-free licence to use, display, and reproduce such content solely for the purpose of operating and improving the App.

9.2 Pick Comments

Users may post short comments (50 characters or fewer) on predictions within a league they share. Comments are visible only to members of that league. You are solely responsible for the comments you post and represent that they do not violate these Terms, applicable law, or the rights of any third party.

9.3 Reporting Objectionable Content

Each comment includes a report control. We commit to reviewing reported content and acting within 24 hours, which may include removing the comment, suspending the author, or terminating the author's account. A comment that receives multiple independent reports is automatically hidden pending review. Kinetic does not tolerate harassment, hate speech, doxxing, sexual content, threats of violence, or content that promotes illegal activity.

9.4 Public Profile

Your account has a "Public Profile" setting (default: on) which controls whether your display name, avatar, statistics, and pick history are visible to other users in leagues you join, the global leaderboards, and the in-app activity feed. You may toggle this off at any time in Settings → Security & Privacy; doing so removes your name from leaderboards and prevents other users from opening your profile from a league row.

10. PROHIBITED CONDUCT

• Use the App for any unlawful purpose
• Attempt to manipulate prediction outcomes or scoring systems
• Use bots, scripts, or automated tools
• Reverse engineer any part of the App
• Transfer, sell, or trade your account or KineticCoins
• Engage in abusive or fraudulent behaviour
• Create multiple accounts or use fake identities

11. INTELLECTUAL PROPERTY

All content, features, and functionality of the App are owned by or licensed to Kinetic and are protected by Canadian and international intellectual property laws.

12. DISCLAIMER OF WARRANTIES

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. KINETIC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KINETIC'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID FOR KINETICCOINS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Redak Code Inc. and its officers, directors, employees, and agents from any claims arising out of your use of the App or violation of these Terms.

15. TERMINATION

Kinetic reserves the right to suspend or terminate your account if you violate these Terms. You may delete your account at any time through the App. Upon deletion, unused KineticCoins are forfeited.

16. MODIFICATIONS TO TERMS

We may update these Terms at any time. For material changes, we will provide at least 14 days' advance notice through the App or by email.

17. DISPUTE RESOLUTION

Any dispute shall be resolved by binding arbitration administered by the ADR Institute of Canada (ADRIC) under its National Arbitration Rules. The seat of arbitration shall be Hamilton, Ontario, Canada. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.

18. REFERRAL PROGRAM

Users may invite friends to join Kinetic using a personal referral code. When a referred user completes sign-up and resolves the qualifying number of predictions (currently three), both the referrer and the referred user receive a coin bonus (currently 50 KineticCoins each), classified as earned coins.

The following rules apply:

• One referral per account — a user can be referred only once.
• Referrals must be applied before the referred user's first resolved prediction. Late-binding is not permitted.
• Self-referrals, referrals between accounts on the same device, and referrals originating from the same network signature may be automatically blocked by our anti-fraud systems. Blocked referrals do not earn coins.
• Coin rewards from referrals are classified as earned coins and may be used within the App, subject to the same terms as other earned coins.
• We reserve the right to modify reward amounts, change the qualification rule, or discontinue the program at any time. We will honor rewards already credited.
• Abuse of the program (including creating fake accounts, use of emulators, or other circumvention of anti-fraud checks) may result in forfeiture of rewards and termination of the account under Section 14.
